Krated is operated by Simple Fintech (Pty) Ltd, a company registered in South Africa. These Terms of Service ("Terms") govern your access to and use of Krated at krated.com and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Definitions
In these Terms:
- "Account" means a registered account on the Service.
- "Customer" means the individual or organisation that has agreed to these Terms.
- "Customer Data" means any data, content, or material uploaded, submitted, or transmitted by the Customer through the Service.
- "Krated", "we", "us", or "our" means Simple Fintech (Pty) Ltd trading as Krated.
- "Order Form" means any ordering document or online subscription selection specifying the services, fees, and term.
- "Paddle" means Paddle.com Market Limited, our online reseller and Merchant of Record.
- "Product Terms" means any supplementary terms specific to particular features or modules of the Service.
- "You" or "your" means the Customer accessing or using the Service.
2. Scope and hierarchy
These Terms apply to all use of the Service at krated.com. Where there is a conflict between documents, the order of precedence is: (1) Order Form, (2) Product Terms, (3) these Terms.
3. Acceptance and eligibility
By accessing or using the Service, you confirm that you have the authority to bind the organisation on whose behalf you are acting and that you accept these Terms in full. You must be at least 18 years old to use the Service.
4. The Services
Krated is a business operations platform for distributors. The Service provides tools for managing orders, inventory, deliveries, catalogues, customer lists, and pricing. We may update, modify, or discontinue features of the Service from time to time. Where a change materially reduces the functionality you are paying for, we will give you reasonable notice.
5. Accounts and access
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify us immediately at support@krated.com if you become aware of any unauthorised use. We may suspend your Account if we reasonably believe it has been compromised or is being used in breach of these Terms.
6. Customer Data: ownership, licence, and authority
You retain all rights in your Customer Data. By using the Service, you grant us a limited, non-exclusive licence to process your Customer Data solely to provide and improve the Service. You warrant that you have the lawful right to provide any data you upload and that doing so does not infringe the rights of any third party.
7. Integrations and third-party services
The Service may integrate with third-party platforms (such as WhatsApp, accounting software, or e-commerce systems). Your use of those platforms is governed by their own terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services. You are responsible for ensuring you have the necessary authority and licences to connect third-party services to the Service.
8. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Attempt to gain unauthorised access to the Service or its related systems.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Transmit malware, viruses, or any harmful code through the Service.
- Scrape, harvest, or collect data from the Service by automated means without our written consent.
- Use the Service to build a competing product or service.
9. AI features
The Service may include AI-powered features that generate suggestions, summaries, or other outputs based on your data. These features use third-party AI providers (such as OpenAI). When you use AI features, relevant data may be transmitted to these providers for processing.
AI-generated outputs are provided for informational purposes only. We do not guarantee their accuracy, completeness, or fitness for any particular purpose. You are responsible for reviewing and verifying any AI-generated output before acting on it.
10. Fees, billing, and taxes
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
By subscribing to a paid plan, you agree to pay the fees specified in your Order Form or at checkout. All payments are processed by Paddle in accordance with their Checkout Buyer Terms.
Paddle handles the calculation and remittance of applicable sales taxes, VAT, or GST on our behalf. The price displayed at checkout will include any applicable taxes for your jurisdiction.
11. Refund policy
We want you to be satisfied with the Service. If you are not, you may request a full refund within 30 days of purchase for any reason.
All payments are processed by Paddle as our Merchant of Record. Refund requests may be submitted to us at support@krated.com or directly through Paddle. Refunds are typically processed within 5–10 business days.
EU/UK statutory cooling-off period
If you are based in the European Union or the United Kingdom, you have a statutory 14-day cooling-off period from the date of purchase during which you may cancel for a full refund, regardless of the reason.
12. Support and service levels
We provide support via email at support@krated.com. Response times and support availability vary by plan. Specific service level agreements (SLAs) require a separate written agreement.
13. Security
We implement reasonable technical and organisational measures to protect the Service and your data against unauthorised access, loss, or alteration. No system is perfectly secure, and we cannot guarantee absolute security.
14. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service. This obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is independently developed; or (d) is required to be disclosed by law.
15. Warranties and disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that it will meet your specific requirements.
16. Limitation of liability
To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you in the three months preceding the claim.
17. Indemnity
You agree to indemnify and hold us harmless from any claims, losses, or damages (including legal fees) arising from: (a) your Customer Data; (b) your misuse of the Service; (c) your breach of these Terms; or (d) your violation of any applicable law.
18. Suspension and termination
Either party may terminate the subscription in accordance with the applicable Order Form or by giving written notice. We may suspend your access immediately if we reasonably believe you are in material breach of these Terms, or if required for security or legal reasons. Upon termination, your right to use the Service ceases immediately.
19. Data retention and deletion
We retain your Customer Data for the duration of your active subscription. Following termination, we will delete your Customer Data within 30 days, unless retention is required by law or you request an export before deletion. Contact support@krated.com to request a data export.
20. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the updated Terms.
21. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of South Africa.
